1. Agreement to Terms
By accessing Mnemonik you agree to these terms.
2. Description of Service
AI memory service providing persistent, project-aware memory for AI coding assistants. Store/retrieve memories, manage API keys, access analytics, subscribe to tiers.
3. Account Registration
Provide accurate info, maintain security of password and API keys, be 18+, responsible for all activity under account.
4. Subscription and Billing
Free tier with limits. Paid plans (Pro, Team) with additional features. Billed monthly in advance via Stripe. Non-refundable except as required by law. 30-day notice for price changes. Cancel anytime, effective end of billing period.
5. Acceptable Use
Use for development-related memories and MCP integration only.
Prohibited: illegal use, malicious code, unauthorized access, reverse engineering, storing sensitive personal data (SSN, financial, health), reselling, exceeding rate limits.
6. Intellectual Property
Service owned by Mnemonik. You retain ownership of your content. We get limited license to store/process/display for providing the service.
7. Privacy and Data
Governed by Privacy Policy. We process data for storage, embeddings, billing tracking, security logs.
8. Service Availability
No guaranteed uptime. May be unavailable for maintenance. We may modify or discontinue with reasonable notice.
9. Disclaimers
"AS IS" basis, no warranties express or implied.
10. Limitation of Liability
No indirect/incidental/special/consequential/punitive damages. Total liability capped at amount paid in preceding 12 months.
11. Indemnification
You indemnify Mnemonik for claims arising from your use, violations, or content.
12. Termination
You can cancel anytime. We can terminate for breach, fraud, security risk. Your data deleted after reasonable retention period.
13. Dispute Resolution
Governed by Mnemonik's operating jurisdiction. Informal resolution first (30 days). Then binding arbitration.
14. General Provisions
Entire agreement, waiver, severability, assignment, notices via email or website.
15. Changes to Terms
Notice via website, email, in-service. Continued use = acceptance.
